Preliminary notice — to be read before any use.
This is a courtesy English translation. In the event of any discrepancy, the French version of these Terms of Service prevails (see Article 12).
WERIN is a decision-intelligence platform for designing equity portfolios. It provides no personalised investment advice within the meaning of MiFID II or Article L. 321-1 of the French Monetary and Financial Code.
Any investment in financial instruments carries a risk of partial or total capital loss. Past performance is not a reliable indicator of future performance.
Users are invited to consult a regulated financial adviser before making any investment decision.
Any user of the WERIN platform is deemed to have read these Terms of Service ("ToS") and to accept all of their provisions.
Article 1 — Identification of WERIN and legal information
WERIN SAS (hereinafter "WERIN" or "the Company") is a French simplified joint-stock company registered with the Montpellier Trade and Companies Register under number 990 072 811, whose registered office is located at 6B Boulevard Berthelot, Bureau 3, 34000 Montpellier (France).
WERIN publishes and operates the platform accessible via werinfinance.com and, where applicable, via a mobile application whose references will be communicated in due course.
WERIN is not a financial investment adviser (CIF) and holds no authorisation from the French Financial Markets Authority (AMF), from the Single Register of Insurance, Banking and Finance Intermediaries (ORIAS) or from the French Prudential Supervision and Resolution Authority (ACPR). WERIN provides no personalised investment advice within the meaning of MiFID II and Article L. 321-1 of the French Monetary and Financial Code.
Article 2 — General provisions
These ToS define the conditions of use of the WERIN platform and its services. They apply without restriction or reservation to any use of the platform, whether via a web browser or, where applicable, via the mobile application.
These ToS, together with the Personal Data Protection Policy and the Cookie Policy, constitute the entire agreement between WERIN and the User. These documents are accessible and printable at any time via a permanent link in the site footer.
If any clause of these ToS is declared invalid or unenforceable by a final court decision, such invalidity will not affect the other provisions, which will remain fully in force and applicable.

2.1 — Dispute resolution and mediation
In the event of a complaint, the User is invited to contact WERIN's customer service first, which will endeavour to provide a satisfactory response as soon as possible.
Failing amicable resolution within a reasonable time, the consumer User may free of charge refer the matter to the consumer mediator: MÉDIATION CONSOMMATION DÉVELOPPEMENT, accessible online at medconsodev.eu or by post at its address in Saint-Étienne.
The European online dispute resolution (ODR) platform set up by the European Commission is also accessible at: ec.europa.eu/consumers/odr.
Where a dispute is not resolved through amicable means or mediation, the competent courts will be those of the User's place of residence if the User is a consumer within the meaning of the French Consumer Code, or those of the registered office of WERIN SAS if the User is a professional. These ToS are exclusively governed by French law.
Article 3 — Risk warnings
WERIN is a decision-intelligence platform. It issues no recommendation, expresses no judgement on the criteria selected by the User, and does not intervene in any way in the investment decisions, which are the User's sole responsibility.
3.1 — General risks applicable to equities
Equities are financial instruments representing a company's equity capital, whose price may fluctuate significantly, sometimes independently of the actual financial situation of the company concerned. The User is expressly warned of the following risks:
- Capital loss: investing in financial instruments carries a risk of partial or total capital loss. Market fluctuations may lead to substantial depreciation of invested capital.
- Market volatility: equity prices fluctuate continuously under the effect of endogenous and exogenous factors, which are not necessarily predictable or rational.
- Dividends: dividend payments are never guaranteed. The issuer may decide to reduce or suspend them at any time, depending on its financial situation or strategy.
- Corporate actions: mergers, acquisitions, delistings, capital increases or any other restructuring may modify shareholders' rights, sometimes to the detriment of the investment's value.
- Currency risk: where an equity is quoted in a foreign currency, the User bears an exchange-rate risk that adds to the price-variation risk of the security and may significantly affect overall performance.
3.2 — Past performance is not a reliable indicator of future performance
A rise in an equity's price, regardless of its duration, is in no way a reliable indicator of future performance. Financial markets are subject to unpredictable endogenous events (death or incapacity of an executive, internal fraud, etc.) and exogenous events (economic crises, geopolitical tensions, technological disruptions, regulatory changes, health crises, etc.) capable of abruptly reversing observed trends.
The information available on the WERIN platform is intended to inform the User in the context of their own analysis and may not be construed as a promise of performance or as a reduction of the decisional uncertainty inherent in financial markets.
Article 4 — Nature of the service and absence of investment advice
WERIN is a decision-intelligence platform for equity investment, independent of any financial actor and not promoting any particular investment product.
The platform offers the design of equity portfolios based exclusively on the criteria entered by the User. WERIN's algorithm selects the securities, their quantity and their valuation in strict compliance with the parameters provided. WERIN also provides commented analytical indicators and a retrospective portfolio performance chart.
The platform also allows saving and tracking created portfolios, and may issue periodic rebalancing proposals whose trigger conditions, frequency and presentation can be configured by the User.
Financial information made available on the platform regarding listed companies, broker pricing or any other documentation, is provided for information purposes only and does not constitute a personalised recommendation within the meaning of MiFID II.
Inherent limitations of the service. The User expressly acknowledges that:
- The portfolio configurations generated result solely from the criteria they define and do not take into account the User's full personal financial situation, real risk profile or wealth objectives.
- WERIN does not hold any of the User's financial securities. The portfolio on the platform is a virtual representation of the information entered and does not constitute a securities account.
- WERIN executes no buy or sell orders on the User's behalf. All transactions are carried out directly with the broker chosen by the User, without WERIN's intervention.
- WERIN does not verify the accuracy of the information provided by the User.
- The consultation tool is a personal visualisation and tracking instrument. It does not constitute an official financial report and may not be produced as such to any administration, notary or other third party.
Before any investment decision, it is strongly recommended that the User consult a duly authorised financial adviser able to assess their personal situation as a whole.
Article 5 — Definitions
For the purposes of these ToS, the following terms have the following meanings:
- WERIN / the Company — The company WERIN SAS, publisher and operator of the werinfinance.com platform.
- Platform — The werinfinance.com website and, where applicable, the WERIN mobile application, providing access to the proposed services.
- User / you — Any adult natural person or legal entity accessing the platform and using its services, whether acting outside or within their professional activity.
- User Account — Personal and unique account, identified by an email address, allowing the User to access the platform's functionalities.
- Subscription — One of the four commercial offers proposed by WERIN: Freemium, Starter, Étendu, Expert.
- Credits — Virtual units debited when using certain platform functionalities (portfolio design, review, consultation of featured portfolios).
- Securities line — Any financial security (equity) of a distinct issuer composing an equity portfolio. For example, a portfolio composed of 233 STMicroelectronics shares, 86 FDJ shares and 17 Gaztransport shares contains three (3) securities lines.
- ToS — These Terms of Service, in their current version.
Article 6 — Enforceability, exclusion of warranties and limitation of liability
6.1 — Enforceability of the ToS
These ToS are accepted by the User upon account creation and upon the first use of each service. Any update to the ToS is notified to Users by email and published on the platform with thirty (30) days' notice before entry into force, in accordance with Article 11.
Any breach of these ToS may lead to suspension or termination of the User Account and refusal of access to the services, without prejudice to any civil or criminal action that WERIN reserves the right to take.
6.2 — Exclusion of warranties
Platform availability. WERIN uses all reasonable means to ensure the availability and continuity of the platform. However, WERIN does not guarantee any availability rate. Interruptions may occur, in particular during scheduled or unscheduled maintenance, technical incidents or infrastructure failures, without WERIN being held liable.
Data accuracy. Financial, extra-financial and fundamental data on listed companies (security prices, financial statements, ESG ratings, analyst recommendations and forecasts, etc.) come from leading third-party data providers or from public sources. Although WERIN ensures their reliability, it cannot guarantee their full accuracy, completeness or real-time update. WERIN disclaims all liability in case of errors, delays or interruptions attributable to such providers.
Platform outputs. All information provided by the platform (charts, analytical indicators, comments and any other data) is for information purposes only. These elements may contain inaccuracies and are left to the User's discretion. They constitute neither a normative assessment nor an inducement to invest.
6.3 — Limitation of liability
WERIN may not be held liable for financial losses, loss of earnings or any other prejudice resulting from decisions made by the User on the basis of information provided by the platform, regardless of the nature or origin of any errors (e.g. an incorrectly displayed price, outdated pricing information, etc.).
WERIN's liability is limited in accordance with applicable French law. Any dispute falling within the jurisdiction of French courts is heard by the competent courts according to the jurisdiction rules set out in Article 2.
If the User's breach of these ToS causes prejudice to WERIN (unauthorised commercial use, unauthorised data collection or resale, identity theft, etc.), the User undertakes to indemnify WERIN for all damages, costs and losses incurred, including legal fees and expenses.
Article 7 — Access conditions, use and services offered
7.1 — Access conditions
WERIN is accessible to any adult natural person aged eighteen (18) or over, residing in France or another EU member state. Access is also open to legal entities.
As WERIN is a decision-intelligence platform that does not collect funds and provides no investment advice, no specific authorisation is required from the User to access it. Nevertheless, as investing in financial instruments requires full legal capacity, access is strictly reserved to adults.
Access to the platform from a country outside the European Union is permitted under the sole responsibility of the User, who must verify in advance that such access is lawful under the applicable regulations in their country of residence.
7.2 — Creation and management of the User Account
Opening a User Account is conditional on the User's main residence and, for natural persons, nationality being in an EU member state or in a state not subject to international sanctions.
Registration is carried out using an email address and a password. Only one account is allowed per User. The creation of multiple accounts is expressly prohibited and will result in deletion of the surplus accounts without notice.
The User undertakes to:
- Provide accurate, complete and up-to-date information upon registration and update it in the event of any change;
- Maintain the confidentiality of their login credentials. WERIN cannot be held liable for any unauthorised access resulting from the User's negligence in protecting their credentials;
- Report without delay any suspicious login or unauthorised access to their account to admin@werinfinance.com.
7.3 — Services offered and credit system
WERIN offers four (4) subscription plans, distinguished by the volume of allocated credits and the accessible functionalities in terms of the number of securities lines per portfolio and the number of portfolios that can be saved:

- * Credits released as a single allocation upon annual subscription (20% discount on the displayed price).
- ** Total credits including the 30 unused Freemium credits, where applicable.
Whatever the plan, any portfolio must contain a minimum of five (5) securities lines. Below this threshold, the platform cannot deliver a relevant output given the diversification requirements inherent in any portfolio strategy.
How credits work. WERIN uses a credit system that gives the User permanent visibility of their consumption. A credit counter is continuously displayed in the user area; any credit-consuming action is preceded by prior notice of the quantity to be debited.
Credits are debited in the three following situations:
- Portfolio design: two (2) credits are debited per securities line when a portfolio is created (e.g. an eight-line portfolio consumes sixteen credits).
- Portfolio review: WERIN may issue rebalancing proposals exclusively on portfolios saved by the User. When such a proposal is available, the User is informed when consulting their portfolio. Credit consumption only occurs if the User expressly chooses to view the details of the proposed review: one (1) credit is then debited per securities line of the relevant portfolio. Any review not consulted gives rise to no debit.
- Featured portfolios: consultation of the detailed composition and analytical metrics of portfolios featured by WERIN is reserved for subscribers and triggers a flat debit of five (5) credits, regardless of the number of lines in the portfolio. Consultation of the general characteristics and commented analyses remains free and accessible to all.
When the credits included in the subscription are exhausted, Users holding a paid subscription may purchase additional credit packs (20, 60, 200 or 600 credits), with a degressive unit price (refer to the prices in force on the platform). Freemium Users may purchase credits individually.
WERIN reserves the right to modify its prices at any time. Any price change is published on the platform and notified by email to Users with a paid subscription, prior to their next renewal date. New prices apply only to subscriptions taken out or renewed after their entry into force; existing subscriptions are not affected until their term. The current prices are available on the platform at any time.
7.4 — Right of withdrawal and waiver
In accordance with Article L. 221-28, 13° of the French Consumer Code, the right of withdrawal does not apply to contracts for the supply of digital content the performance of which has begun with the consumer's prior express consent and express waiver of their right of withdrawal.
Consequently, any User subscribing to an annual WERIN subscription expressly consents to the immediate performance of the service and waives their right of withdrawal, allowing them to benefit immediately from the full credits attached to their subscription.
WERIN subscriptions are non-refundable, in whole or pro rata. In the event of termination at the User's initiative, the User continues to benefit from the services until the expiry of the current subscription period. No free trial period is offered for paid plans.
7.5 — Permitted uses and limitations
Access to the WERIN platform is granted on a personal basis. Any commercial exploitation or dissemination of the information generated by the platform to third parties is strictly prohibited without prior written authorisation from WERIN.
The User is expressly prohibited from:
- Reselling, redistributing or commercially exploiting all or part of the data, analyses or portfolio configurations generated by the platform;
- Using robots, scripts, crawlers or any automated system to extract data from the platform;
- Creating services or products using all or part of WERIN's content, whether general or personalised;
- Circumventing the platform's security measures or accessing areas not authorised by the rights attached to their account;
- Impersonating another person or providing fictitious identity information;
- Adopting any behaviour likely to disrupt the operation of the platform or to harm the rights of other Users.
Any breach of this article may lead to immediate suspension or termination of the account, without notice. WERIN reserves the right to report the matter to the relevant regulatory authorities and to take any legal action for compensation of the damage suffered.
7.6 — Professional use and access by legal entities
These ToS govern access to the WERIN platform for strictly personal use. Any use of the platform in a professional context — including, in particular, use on behalf of a third party, in the context of a service provision, advisory activity, third-party portfolio management or any other commercial activity — is subject to prior and express authorisation from WERIN, formalised by the conclusion of a specific contract.
Legal entities wishing to access the platform for professional purposes are invited to contact WERIN at admin@werinfinance.com to define the applicable access conditions and pricing, which will be the subject of a tailored agreement between WERIN and the entity concerned.
In the absence of a specific agreement with WERIN, any use of the platform for professional purposes or on behalf of third parties constitutes a violation of these ToS and may lead to immediate termination of the account, without prejudice to any civil or criminal action.
7.7 — Closing the User Account
The User may close their account at any time from the settings of their personal area. Closing the account entails deletion of personal data under the conditions provided for in WERIN's Personal Data Protection Policy, as well as deletion of all saved portfolio configurations.
WERIN reserves the right to suspend or terminate any account, without notice, in case of breach of these ToS.
Article 8 — Intellectual property
WERIN® is a trademark registered with the French National Institute of Industrial Property (INPI).
All systems, software, databases, algorithms, source code, editorial content, graphics and any other elements constituting or integrating the WERIN platform are protected by intellectual property rights applicable under French and European law. These elements are the exclusive property of WERIN SAS.
These ToS grant the User no property rights over the services or elements of the platform. The User benefits only from a personal, non-exclusive and non-transferable right of use, limited to private use of the platform under the conditions defined herein.
Without prior written authorisation from WERIN, the User is expressly prohibited from:
- Copying, duplicating, downloading or reproducing all or part of the platform's content;
- Redistributing or republishing articles written by WERIN's editorial team, which are protected by copyright;
- Redistributing or publishing the analyses or portfolio configurations generated by the platform;
- Modifying, adapting or creating derivative works from WERIN's content;
- Using WERIN's corporate name, logo or any trademark in any form whatsoever;
- Commercially exploiting any element of the platform.
Any unauthorised use may constitute an infringement of WERIN's intellectual property rights and expose the perpetrator to civil and criminal sanctions in accordance with the provisions of the French Intellectual Property Code.
The User retains ownership of the content they publish on the platform (comments, reviews on securities or articles, etc.). By publishing such content, the User expressly authorises WERIN to use their profile image and their testimonials published on the platform for promotional purposes, free of charge, during the period of their registration and for a period of three (3) years from the end of services.
Article 9 — Personal data and confidentiality
WERIN applies a rigorous personal data protection policy and a cookie policy, detailed in separate documents accessible on the platform:
These documents describe, in accordance with Regulation (EU) 2016/679 of 27 April 2016 (GDPR) and French Law No. 78-17 of 6 January 1978 as amended, the categories of data collected, the purposes and legal bases of processing, retention periods, as well as the User's rights and the means of exercising them.
Article 10 — Customer service
WERIN's customer service can be reached by email at: admin@werinfinance.com.
It is available Monday to Friday, excluding public holidays, from 8:00 a.m. to 5:00 p.m. (Paris time). WERIN undertakes to handle requests as soon as possible and to provide an effective and substantive response to each enquiry.
Article 11 — Force majeure, term, modifications and termination
11.1 — Force majeure
No party may be held liable in the event of force majeure, within the meaning of Article 1218 of the French Civil Code, understood as any unforeseeable, irresistible event beyond the control of the party invoking it, including in particular: strike, terrorist act, armed conflict, epidemic, pandemic, natural disaster, cyberattack, widespread failure of communication networks, health crisis, sudden decision of a regulatory authority or any other event beyond the reasonable control of the parties.
If a force majeure event lasts more than three (3) months, either party may terminate the contract without notice or compensation.
11.2 — Term and renewal
The Freemium plan is taken out for an indefinite period and may be terminated by the User at any time, free of charge.
Paid subscriptions (Starter, Étendu, Expert) are taken out for an initial period of one (1) month or one (1) year depending on the option chosen, and are tacitly renewed at the end of each period, unless terminated by notice to WERIN:
- At least seven (7) calendar days before expiry, for a monthly subscription;
- At least thirty (30) calendar days before expiry, for an annual subscription.
11.3 — Modification of the ToS
WERIN reserves the right to modify these ToS at any time. Any material change is notified to the User by email at least thirty (30) days before its entry into force.
Absent objection by the User before that date, the new ToS are deemed accepted. In the event of express refusal of the new ToS, the account will be closed and the data deleted in accordance with the Personal Data Protection Policy. If the User holds a paid subscription, they will be refunded pro rata for the unused portion of the period.
11.4 — Termination and data deletion
In the event of account termination, for any reason whatsoever, WERIN will delete the User's personal data under the conditions and within the time periods set out in the Personal Data Protection Policy.
Article 12 — Miscellaneous provisions
These provisions supplement the foregoing and are inseparable from them.
- Non-waiver: WERIN's failure to invoke a provision of these ToS may not be construed as a definitive waiver of its right to invoke it later.
- Non-assignability: the User may not assign all or part of the rights and obligations arising from these ToS without WERIN's prior written consent, on pain of immediate termination.
- Severability: if any clause of these ToS is declared null or unenforceable by a final court decision, the other provisions will remain fully in force and applicable.
- Contractual language: these ToS are drafted in French, which prevails in the event of any discrepancy with any foreign-language translation.
- Governing law: these ToS are exclusively governed by French law.
